Board of Directors Memorandum

RE: Management Transition and Path Forward

Dear Memorial Parkway Homeowners,

The Board of Directors is writing to clarify recent events, correct misinformation, and outline our commitment to a better future for our community. The transition from self-management to professional management was not taken lightly, and while we acknowledge it occurred swiftly, it was done with the sole purpose of protecting and preserving the operations of Memorial Parkway.

Why the Transition Was Necessary

Earlier this month, the Association’s long-standing office staff tendered their resignations – with the last remaining employee giving less than two weeks standard notice of resignation. Their decision, while respected, created an urgent and unavoidable operational gap. In a self-managed structure, continuity depends almost entirely on retaining key individuals. When that continuity was disrupted, the Board had a legal and fiduciary obligation to act quickly to avoid service disruptions, protect Association assets, and fulfill our duties under Texas law.

The Board immediately evaluated several professional management firms. After conducting interviews to continue with the self-management approach, assessing self-management software, and reviewing cost structures, we selected Goodwin & Company. With nearly 50 years of experience, more than 300 employees, and a proven track record of managing large master-planned communities across Texas, they were the clear choice. Their local team, led by Mr. Ian Knight, MBA, CMCA, AMS, PCAM® brings professionalism, structure, and industry expertise we believe will be transformative for Memorial Parkway.

Understanding the Role of Goodwin & Company

It is important to emphasize that hiring a management company does not mean the Board has relinquished control of the Association. The Board retains full authority over all decisions, policies, and oversight functions. Goodwin & Company acts solely as our agent—executing the Board’s direction, managing operations, and providing expert guidance. They do not set policy, control finances independently, or govern the Association.

Legal Framework and Board Authority

Under Texas Property Code Chapter 209 and Title 22 of the Texas Business Organizations Code, the Board of Directors remains the sole governing authority for the Association. The decision to engage Goodwin & Company was made by majority vote, consistent with the law and our governing documents. Delegating day-to-day management is permitted and, in this case, necessary. The Board remains fully accountable to homeowners.

Acknowledging and Owning the Communication Gap

We recognize that many residents were caught off guard and that the timing of the announcement caused concern. Ideally, this decision would have followed broader community dialogue, but the resignation of key personnel on April 23 left the Board with limited time to act. We acknowledge that communication should have been better and sooner—and for that, we sincerely ask for your understanding and forgiveness.

This experience has underscored the need for more transparent, proactive communication with our residents moving forward. The Board is committed to engaging the community early and often on major decisions. Your trust and participation are vital, and we aim to earn both.

Debunking Common Misunderstandings

Several misconceptions have recently circulated. We want to address them directly and factually:

Claim: The Board gave up its authority to a management company.

Fact: The Board retains full governing control. Goodwin & Company is a contractor acting under Board direction. All decisions remain with your elected Board.

Claim: Hiring a management company required a unanimous vote.

Fact: Texas law allows a majority vote of the Board to hire contractors, including management firms.

Claim: Three bids are required.

Fact: Texas law requires “multiple” bids but does not mandate a specific number. The intent is to ensure competitive selection, which was done.

Claim: Selection of the management company had to occur in an open meeting.

Fact: Contract negotiations and personnel matters may be conducted outside of an open board meeting. Any action taken is disclosed in open meeting minutes, per Texas Property Code §209.0051(h).

Claim: Assessments will increase significantly.

Fact: The cost of professional management is lower than the prior self-managed model. For example, under Goodwin’s structure:

o The Association will no longer pay separate costs for payroll taxes, software, or HR services.

o Operational efficiency and cost savings are projected at $20,000–$25,000 annually.

o Their agreement is month-to-month, providing flexibility and control.

o There is no automatic annual fee increase—any future increase must be earned and approved.
